1. Introduction and Acceptance

Welcome to Peopoll! These Terms of Service (“Terms”) are a binding legal agreement between you and Peopoll Inc. (“Peopoll”, “we”, “us”, or “our”), a company incorporated in the British Virgin Islands, governing your access to and use of the Peopoll mobile application and any related services (collectively, the “Service”).

By creating an account, downloading the app, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date above and, for material changes, notify you through the app or via email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

2. Eligibility — You Must Be 13 or Older

You must be at least 13 years of age to create an account or use the Service. By registering, you represent and warrant that you are at least 13 years old. If you are between 13 and 17, you confirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will immediately terminate their account and delete any associated data. If you believe a child under 13 has created an account, please contact us at terms@thepeopoll.com.

If you are accessing the Service on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

To access most features of the Service, you must create an account by providing accurate and complete information, including your name, email address, username, date of birth, gender, and country. You agree to keep this information current and accurate.

You are responsible for maintaining the confidentiality of your account credentials. You must not share your password with any third party. You are fully responsible for all activity that occurs under your account.

If you suspect unauthorised access to your account, you must notify us immediately at terms@thepeopoll.com. Peopoll will not be liable for any loss or damage arising from your failure to safeguard your credentials.

We reserve the right to refuse registration or cancel accounts at our discretion, including if we determine that a username is offensive, misleading, or violates these Terms.

4. User-Generated Content

The Service allows you to create, post, and share polls, comments, votes, profile information, and other content (“User Content”). You retain ownership of any intellectual property rights you hold in your User Content.

By submitting User Content to the Service, you grant Peopoll a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, host, store, reproduce, modify, display, distribute, and create derivative works of your User Content solely to operate, improve, and promote the Service.

You represent and warrant that: (a) you own or have the necessary rights to post your User Content; (b) your User Content does not infringe any third party's intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

Peopoll does not endorse any User Content or opinions expressed in polls, comments, or votes. You understand that you are solely responsible for the User Content you submit, and that Peopoll is not liable for any User Content.

5. Polls, Votes, and Demographic Insights

Peopoll allows you to create polls (including Yes/No, Multiple Choice, and Ranking polls), vote on polls created by others, and view aggregated demographic insights based on voting patterns.

When you vote on a poll, your response is recorded and aggregated with other users' responses to generate demographic breakdowns by age group, gender, and country. These insights are displayed in aggregate form and do not identify you individually to other users.

You acknowledge that polls reflect opinions and are not scientific surveys. Peopoll makes no representation that any poll results are accurate, representative, or reliable. Poll results should not be relied upon for any significant decision-making.

You must not manipulate poll results through any artificial means, including creating multiple accounts to vote, using bots or automated tools, or coordinating with others to skew results in a misleading way. Any such behaviour may result in account termination.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  1. (a)Posting content that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, discriminatory, or otherwise objectionable;
  2. (b)Harassing, bullying, intimidating, or threatening other users;
  3. (c)Impersonating any person or entity, or falsely representing your affiliation with a person or entity;
  4. (d)Posting content that infringes any patent, trademark, trade secret, copyright, or other intellectual property right;
  5. (e)Sharing personal information of others without their consent (doxxing);
  6. (f)Spreading misinformation, disinformation, or knowingly false content;
  7. (g)Attempting to access, tamper with, or disrupt any part of the Service, its servers, or networks;
  8. (h)Using any automated system, including robots, scrapers, or data harvesting tools, without our express written permission;
  9. (i)Attempting to bypass any security or access controls of the Service;
  10. (j)Using the Service for any commercial solicitation, advertising, or spam;
  11. (k)Creating multiple accounts to circumvent account suspensions or bans.

We reserve the right to remove any content and suspend or terminate accounts that violate these rules, without notice and at our sole discretion.

7. Content Moderation and Reporting

Peopoll provides tools to report content that you believe violates these Terms. We review reports and may remove content, warn users, or suspend or terminate accounts as appropriate.

We are not obligated to monitor all User Content, but we reserve the right to do so. Removal of content or account suspension is at our sole discretion. We are not liable for any failure to remove objectionable content.

8. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

We collect demographic data (age, gender, country) to power the insights features of the Service. This data is used in aggregate and is not sold to third parties.

9. Third-Party Services

The Service may contain links to, or integrate with, third-party websites and services. These third parties have their own terms and privacy policies, and we are not responsible for their content, practices, or policies.

We use third-party infrastructure providers (including Supabase for data storage and Expo for push notifications) to operate the Service. Your data may be processed by these providers subject to their own privacy policies.

10. Intellectual Property

The Service and all content, features, and functionality provided by Peopoll (excluding User Content) — including software, text, graphics, logos, icons, and images — are owned by Peopoll Inc. and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or exploit any portion of the Service without our prior written consent.

“Peopoll” and all related logos and marks are trademarks of Peopoll Inc. You may not use our trademarks without our prior written permission.

11. Disclaimers and Warranty

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Peopoll does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on the Service.

Some jurisdictions do not allow disclaimers of implied warranties, so some of the above may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Peopoll Inc. and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Service.

In no event shall Peopoll's total liability to you exceed the greater of (a) the amount you paid Peopoll in the twelve months prior to the claim, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Peopoll Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third party's rights.

14. Termination

You may delete your account at any time through the app settings. Upon deletion, we will remove your personal data in accordance with our Privacy Policy.

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and without prior notice, if we believe you have violated these Terms or for any other reason at our discretion.

Upon termination, all licences granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect, including Sections 10, 11, 12, 13, and 15.

15. Governing Law and Disputes

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of law principles.

You agree that any dispute with Peopoll shall first be attempted to be resolved informally by contacting us at terms@thepeopoll.com. If the dispute cannot be resolved informally within 30 days, either party may submit the dispute to binding arbitration under the rules of a recognised arbitration institution agreed upon by both parties.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

If you are a consumer in a jurisdiction that mandates local courts, those mandatory provisions will apply to the extent required by law.

16. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Peopoll regarding the Service and supersede any prior agreements.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.
